2、epublicofChinaandBankofChina,afterreviewingthestatusandtherequestoftheBorrower,theLenderagreestogranttheBorroweralineofcrediton.TheBorrower,LenderandGuarantor,throughfriendlynegotiation,haveexecutedthisContractasfollows:ARTICLE1CURRENCY,AMOUNTANDTERMOFTHELOAN:1.TheCurrencyunderthisloanisReiminbi.2.T
3、heLineoftheloanisyuan.3.Theperiodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN:1.Thepurposeofthisloanisusedforworkingcapitalturnover.2.WithoutwrittenapprovaloftheLender,theBorrowercouldnotusetheloanoutofthescopeofthepurpose.ARTICLE3INTERESTRATEANDCALCULATIO
4、NOFINTEREST:1.Interestrate:TheinterestrateshallbexxxDuringtheloanterm,ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest,theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinteres
5、trateareexecutedoneyear.ItisnotobligedtoinformtheBorrowerwhentheadjustmentofinterest.2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.3.Thepaymentofinterests:TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,and.If
6、thepaymentforthelastinstallmentisnotonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollectapenaltybeingxxxoftheo
7、utstandingamountperdayfortheBorrowersbreachofcontract.ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyforxxxoftheoverdueamountperday.2.IftheBorrowerfailstousestheloaninaccord
8、ancewiththeprovisionssetforthinthiscontract,theLendershallhaverighttochargeainterestsforthemisusingpartatarateofxxxperday.ARTICLE5ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.ARTICLE6DRAW
9、-DOWN1.Theloanunderthiscontractisrevolving,thebalanceofthiscontractshallnotmorethanthelineofcredit.2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.3.TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7CONDITIONSFORDRAW-DOWNThefollowing
10、conditionsshallbesatisfiedinadvanceofthedraw-downdate:1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender;2.Thiscontractandtheappendiceshavebeeneffective;3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;4.TheB
11、orrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;6.TheGuarantyunderthiscontracthasbeeneffective;7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthi
12、scontract;8.Theotherrequirementforthedraw-downhavebeensatisfied.ARTICLE8REPAYMENTPLANANDPREPAYMENT1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddatexxxpriortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinte
13、restsonduedatewithoutanycondition.2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLender
14、orempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches;4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovem
15、entionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.(theGuarantor)shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwa
