COMMODITY AND PRICE 商品和价格 This Contract is made by and between the Buyer and the Sel ler; whereby the Buyer agrees to buy and the Seller agrees to sel l the commodity and on terms and conditions stipulated below: 本合同由买卖双方订立，根据下列条款和条件买方同意购买且卖方同

IMPORT DECLARATION CERTIFICATE 进口报关单 According to the PRC custom regulations, the import duty o n service parts should be waived within the warranty period if th e equipment was legally imported to China. The Buyer shall provid e a copy of the following docum
6、ent to the Supplier within the state d time in order to obtain this waiver: 根据中国海关的规定，如果设备是合法进口到中国的，在质量保证期维修零部件应免除进口 关税的征收。买方应在下述时间向 供货商 提供如下文件的副本以取得该等免除： Import Declaration Certificate (within 2 weeks after the cust om clearance); Tax Exemption Certificate; or 进口报关单 ( 报关后 2 个星期之 ) Receipt of Import
7、 Tax of the equipment (within 2 weeks a fter the custom clearance) and 设备进口关税完税证明（报关后2 个星期之） Receipt of VAT of the equipment (within 2 weeks after th e custom clearance) 设备进口增值税完税证明（报关后2 个星期之） The free of charge replacement of defective parts during th e warranty period provided by the Seller shall
8、be void if the Buye r is unable to supply the aforesaid documents. All taxes on spare p arts levied by the China Government shall be borne by the Buyer. 如果买方无法提供上述单据，卖方在质量保证期间对有缺陷的部件提供的免费更换应失效。 中国政府对部件征收的所有税赋应由买方承担。 18. INSPECTION AND CLAIMS 检验和索赔 Unless otherwise specifically agreed hereto in writi
9、ng by th e Seller, the Seller shall inspect and test products to its specific ations prior to delivery to the Buyer. The Buyer may, at its own e . . . . . xpense, inspect and test the products supplied hereunder upon arriva l at the Buyers facility. 除非卖方以书面方式作出特别相反约定，卖方应在向买方交付产品之前根据规格检验和测试 产品。在货物到达买
10、方场所后，买方可以自负费用检验和测试本合同项下提供的产品。 Within 90 days after the arrival of the goods at destinatio n, should the quality, specifications, or quantity be found not in c onformity with the stipulations of the Contract except those claims f or which the insurance company or the owners of the vessel are liab le,
11、 the Buyer shall, on the strength of the Inspection Certificate i ssued by the Inspection Bureau, notify the Seller promptly in writin g of any claim for damages or for compensation. 在货物到达目的地后90 天之，如果发现货物的质量、规格或数量与合同的规定不符，除非 应由保险公司和船东承担责任之外，买方应凭检验机构出具的检验证书立即以书面方式将任 何损害赔偿或赔偿金的要求通知卖方。 18.A LIMITATION
12、OF LIABILITY 有限法律责任 The liability, if any, of Seller and Seller representatives arisin g from this Contract is limited to an amount not exceeding the pric e of the Commodity giving rise to the liability. 卖方及买方代表在本合同下的责任( 如有 ) 不会超过有关商品的价格。 18B. INDEMNIFICATION - Intellectual Property Rights Infringem
13、ent claims 彌償侵犯知识产权權利的申索 In case (a) a non-appealable judgment; or (b) the Commodity is belie ved by Seller to infringe such a claim, Seller may, at its optio n, (i) procure the right for the Buyer to continue to use the Comm odity, (ii) replace or modify the Commodity to avoid infringement, o r (ii
14、i) refund to the customer a reasonable portion of the Commodit y purchase price upon the return of the original Commodity. 如果 (a) 有不可上诉的判决; 或(b) 卖方相信商品侵犯知识产权，卖方可以， 自行作出選择，(i) 为买方獲取权利继续使用商品，(ii) 替换或修改商品以避免侵权， 或(iii) 于退回商品时退还合理部分的商品价格。 The above states Seller entire obligation and liability, an d the

SETTLEMENT OF CLAIMS 理赔 In case of the Seller is liable for the discrepancies an d a claim is made by the Buyer within the period of claim or qual ity guarantee period as stipulated in Clauses 15 to
