No text of specified style in document.摘要“如果有限责任公司为公司法的第一显著特征，那么股东表决权则是公司法的第二显著特征”。 转引自刘俊海.股份有限公司股东权的保护.法律出版社,2004:252.股东表决权是股东基于公司所有者身份而享有的参与公司经营管理的一项权利,亦可将其视作股东让渡个人财产给公司所获得的一笔对价。一股一权原则和资本多数决原则共同构成了股东表决权行使的基本原则。股东“出席”股东大会，通过表决权行使这种手段作出自身意思表示，最终依照一定规则(如简单多数规则)形成公司意志。公司意志将对全体股东产生约束，这也正是为什么研究股东
2、表决制度很有必要的原因所在。表决权是股东享有的重要权利之一：是股东参与公司经营管理的最为积极有效手段，亦是其实现其它相关权利的重要保障。然而，相较于发达国家拥有比较稳定且成熟的股东表决制度体系，我国关于股东表决制度的建设起步较晚自1993年公司法颁布至今也不过二十余年的历史，并且期间一直经历着变动。因此，对我国股东表决制度的研究就格外重要。本篇论文由引言、正文和结语三部分构成，其中正文部分由五大章节组成。在行文安排上，作者将采用“总分”的叙述手法。在第二章中，作者首先对我国股东表决制度发展史作了简单介绍，接着将我国现阶段正在运行的股东表决制度系统按照表决规则与表决方式两个线索进行分类，并借助时
3、间坐标轴的形式，动态地展示了我国股东表决制度自1993年公司法实施以来的发展进程。在接下来的四章中，作者将从股东表决制度系统两大线索出发，按照“内涵发展实践”的思路对各制度逐个进行阐述。关键词：股东表决权；一股一权；资本多数决AbstractIf Limited Liability Company is considered to be the first significant feature of corporate law, then shareholders voting right will be followed. Shareholders Voting Right allows
4、shareholders, as owners of the company, to participate in the management process of the company, which can also be regarded as a price received for the transfer of personal property.One Share One Vote Principle and Capital-Majority Principle together constitute the basic principles of Shareholders V
5、oting System. Shareholders express their ideas through voting in the meeting, then the companys will will be made based on some certain rules like majority rule. Studying on the Shareholders Voting System is so necessary because that will made before will exert a binding effect on every shareholders
6、.Voting is one of the most important rights enjoyed by shareholders. It acts as a positive and effective means to participate in the corporate governance as well as to guarantee a series of related shareholders rights. Compared to experiences in the developed countries, however, shareholders voting
7、system in China has a rather short while constantly changing history Corporate Law only has 22 years history since 1993. In this case, a study about the institutional framework of shareholders voting mechanisms in China is particularly urgent.This thesis consists of introduction, body part and concl
8、usion, and five chapters are included in the body part. As for the arrangement of the body part, the author first will give a whole picture of the continuing changing framework of shareholders voting system from 1993 till now in chapter 2 , and then the author will explain mechanism by mechanism tho
