1、DATED2011 1 BADMINTON WORLD FEDERATION and 2 HOST HOSTING AGREEMENT Insert date 2011 STRICTLY PRIVATE AND CONFIDENTIAL TR TR 327077 3 UKM 38428326 11 THIS AGREEMENT is made on 2011 BETWEEN 1 BADMINTON WORLD FEDERATION a registered society established under the laws of Malaysia and whose principal pl
2、ace of business is at Stadium Badminton Kuala Lumpur 31 2 Mile Jalan Cheras 56000 Kuala Lumpur Malaysia BWF which expression means and includes all successors and permitted assigns thereof and 2 Details to be inserted the Host WHEREAS A BWF is the sole governing body of the sport of badminton and is
3、 recognised as such by the International Olympic Committee B As between the Parties BWF owns and controls the rights in the Event and wishes to stage the Event in the Territory C The Host has agreed to host the Event in the Territory as set out in this Agreement D The Guarantor has supported the Hos
4、t in its bid to host the Event and has agreed to continue to support the Host in the manner appearing in this Agreement NOW IT IS HEREBY AGREED as follows 1 INTERPRETATION For the purpose of this Agreement 1 1the terms and expressions set out in Schedule 1 Definitions shall have the meanings ascribe
5、d herein 1 2any reference to a statute or other legislation and or code of practice shall be construed as a reference to that statute other legislation and or code of practice as from time to time re enacted or amended 1 3Clause headings in this Agreement are for the convenience of the Parties only
6、and shall not limit govern or otherwise affect its interpretation in any way 1 4references in this Agreement to Clauses sub Clauses paragraphs and schedules are references to those contained in this Agreement 1 5the schedules to this Agreement are an integral part of this Agreement and reference to
7、this Agreement includes reference thereto 1 6references to a person shall be construed to include a firm partnership company corporation individual and any other legal entity whether incorporated or unincorporated 1 7references to the masculine gender shall include the feminine and to the singular s
8、hall include the plural and vice versa and TR TR 327077 3 UKM 38428326 12 1 8the words include including and in particular shall be construed as being by way of illustration or emphasis only and shall not be construed as nor shall they take effect as limiting the generality of any preceding words 2
9、APPOINTMENT OF THE HOST 2 1BWF hereby appoints the Host to host Note Insert name of Event the Event in Note Insert Territory the Territory such appointment to include the ability to exercise the Host Rights and the obligation to perform the Host Deliverables in each case strictly in accordance with
10、this Agreement 2 2The Host acknowledges and agrees that the Event and every part thereof is subject always to the control and direction of BWF BWF reserves the exclusive right throughout the Term to determine and approve all organisational operational and regulatory aspects of the Event and will end
11、eavour to keep the Host reasonably informed of all material aspects in relation to the same which are relevant and or applicable to the subject matter of this Agreement including 2 2 1the official title name of the Event 2 2 2the Event dates and duration 2 2 3the Event format and schedule including
12、BWF Regulations 2 2 4the qualification processes and procedures for competitors and 2 2 5the number of participating competitors 2 3The BWF Regulations set out procedures for dealing with breaches of the same by players coaches managers teams and BWF member federations and for the avoidance of doubt
13、 the consequences of any measure or other enforcement action taken by BWF against any such person shall not constitute a breach of this Agreement by BWF Accordingly the Host shall not be entitled to any right claim or remedy whatsoever against BWF in respect of any such measure or action taken by BW
14、F 2 4In those circumstances where BWF s approval is required within this Agreement unless otherwise specified such approval shall be at its absolute discretion and shall only be deemed given where provided in advance by BWF in writing For the avoidance of doubt BWF s approval shall not be implied an
15、d no failure to provide any such approval within any specified time period including for the avoidance of doubt those periods contained within the Approval Process shall be deemed a breach of this Agreement 3 THE HOSTING OBLIGATIONS 3 1Security Document Upon signature of this Agreement the Host shal
16、l deliver to BWF a deed of guarantee in the form attached at Schedule 21 Security Document and duly executed on behalf of the Guarantor TR TR 327077 3 UKM 38428326 13 3 2Host Deliverables 3 2 1Pursuant to its appointment under Clause 2 1 the Host agrees that it shall provide the Host Deliverables prior to during and after the Event prior to or on the dates set out in the Delivery Timeline to the standard required by BWF taking into account 3 2 1 1the international nature and prestige of the Even
