The Buyer agrees to buy and the Seller agrees to sell the under-mentioned goods and perform the services as listed in attachme

InsuranceThe cost of insurance included in the Total Contract Price.And if the Buyer is required, the Sel
5、ler should be responsible for procedure of the Insurance.8. Warranty Manufacturers standard Warranty will be applied for 1 (one) year or 50,000 Kilometers whichever comes earlier (From the date of receipt of the vehicle by Buyer).The warranty related claims will be entertained by Energypac Lit. 9. 6、fter sales servicesEnergypac Limited have highly specialized Technicians at JAC Service Centers in Dhaka who will undertake responsibilities of rendering all After - Sales Services. 10. Free Services03 (Three) complementary after sales services are provided checked at 5000 KM Interval in JAC worksho
7、p. A warranty booklet will be provided at the time of delivery to avail these complementary services.11. GOVT. DUTIES & TAXES:The registration fee including number plate.12. Liquidate damage for delayIn case the Seller fails to meet the delivery of the vehicles specified in Contract (with the except
8、ion of the force Majeure cases specified in Contract), the Seller shall pay to the Buyer one percent (1%) of Contract Price for each day of delay as liquidated damages for delay, that such liquidated damage for delay shall in no event exceed an amount equal to thirty percent (30%) of Contract Price1

Force MajeureShould either of the parties to Contract be prevented from performing his obligations under Contract by cases of Force Majeure such as, for example, war, flood, typhoon and earthquake, national strike, the time for performance of these obligations shall be extended to a period, which
10、 is equal to the effect of those cases.The prevented part shall notify the other party by facsimile within the shortest possible time of the occurrence of Force Majeure and within ten (10) days thereafter send by registered airmail to the other party for his examination and confirmation a certificat
11、e issued by the competent authority as evidence thereof.If the effect of the Force Majeure continues for more than ten (10) days, both parties shall settle the problem of further execution of Contract by friendly negotiation and try to reach an agreement as soon as possible.14. Entire Agreement, Mod
12、ificationContract together with its attachments and references and the Buyers instructions constitute the entire agreement between Buyer and Seller and may not be modified except in writing by the authorized representative of the parties thereto.15. AssignabilityThe Seller shall not assign or sublet
13、 Contract in whole or in part without prior written consent of the Buyer.16. Governing LawContract shall be subject to, and shall in all respect be governed by the laws of Bangladesh.17. ArbitrationThe Buyer and the Seller shall make every effort to resolve amicably by direct informal negotiation an
14、y disagreement or dispute arising between them under or in connection with Contract.18. Effective Date of Contract:Contract shall be effective immediately upon signature and stamp by both parties.19.
