3、gistered address at No.199 Liangjing Road, shanghai, China (AstraZeneca); and (2)ABC有限公司，一家在中国注册成立的公司，注册地址为（“ABC”）。ABC Co., Ltd a company incorporated in China with its registered office at (the Organisation)引言/RECITALS(A)双方为发展其之间有关XXXX技术、领域相关合作的拟议业务关系，有意向对方披露保密信息（“业务目的”）。Each Party wishes to disclo

6、 acknowledged, the Parties, intending to be legally bound, agree as follows:1. 定义和解释/DEFINITIONS AND INTERPRETATION 1.1 术语定义/Defined Terms除非本协议另有特别规定，否则下列术语应具有以下含义：Unless otherwise specifically provided in this Agreement, the following terms shall have the following meanings:“关联方”，就法律实体而言，指不时控制该法律实体
7、、受该法律实体不时控制或与该法律实体不时受共同控制的任何其他人。Affiliate means, with respect to a Person, any Person that Controls, is Controlled by or is under common Control with such Person from time to time.“适用法律和条例”指所有国家、地方、外国或省级机构的法律、规则和条例、任何监管机构的任何指南、指引和监管要求，以及任何适用于本协议所拟议或根据本协议所从事之活动的不时有效的行业行为守则。Applicable Laws and Regulat
8、ions means all national, foreign or provincial laws, rules, regulations, as well any guidance, guidelines and requirements of any Regulatory Authorities and any industry codes of practice in effect from time to time applicable to the activities performed under or contemplated by this Agreement.“行为守则

10、confidential nature belonging to the Disclosing Party, including: (A) 财务或业务信息、业务计划、规划或战略、商业惯例和商业关系、公司政策、程序、惯例或程序、制度、运营方法或营销计划；financial or business information, business plans, projections or strategies, business practices and relationships, corporate policies, procedures, practices or processes, sy
11、stems, methods of operation or marketing plans; (B) 研究、开发或其他调查活动；research, development or other investigative activities; (C) 监管惯例、程序或政策；regulatory practices, procedures or policies; (D) 产品信息、规格、配方、成分、定价政策、营销计划、产品费用或促销活动；product information, specifications, formulas, ingredients, pricing policies, m
12、arketing plans, product costs or promotional activities; (E) 有关客户、供应商或员工方面的信息或协议；customer, supplier or employee information or agreements; (F) 医学、科学信息或数据，或其他技术信息或数据；medical, scientific or other technical information or data; (G) 公司订立的协议、战略、商业或许可协议，或其他协议；corporate, strategic, commercial, license or o
13、ther agreements; (H) 发明、创新、改进、专有技术、生产方法、使用方法、商业秘密，或其他专有信息；inventions, innovations, improvements, know-how, methods of manufacture, use, trade secrets or other proprietary information; (I) 任何可能被合理商业人士视为具有保密性质的、与下列各项有关的信息any information that would be regarded as confidential by a reasonable business p
14、erson relating to: (i) 披露方的业务、事务、顾客、客户、供应商、计划、发明或市场机会；the business, affairs, customers, clients, suppliers, plans, intentions, or market opportunities of the Disclosing Party; (ii) 披露方的运营、程序、产品信息、专有技术、设计、商业秘密或软件；及the operations, processes, product information, know-how, designs, trade secrets or sof
15、tware of the Disclosing Party; and(J) 正在就业务目的进行讨论和谈判的事实，以及该等讨论和谈判的进展状况。the fact that discussions and negotiations are taking place concerning the Business Purpose and the status of those discussions and negotiations; 以上各项所述信息由披露方以口头、书面形式或以论证形式披露给接收方，或包含在其他形式（包括数据、文件、图案、胶片、计算机可读媒介、磁带、手册、规格说明、流程图、程序列表及数据文件打印资料等）媒介中。因任何保密信息产生的或源自保密信息的任何信息，以及包含在任何媒介（包括接收方或其代表提供的任何材料）中的任何信息，亦应视为披露方的保密信息。which is disclosed to the Receiving Party
