3、terms: The agreement is between Alu_Rehab (Xiamen) Co., Ltd. and Fuying Plastic Products Co., Ltd. 定义: 双方：指本合同中供应商和制造商 Definitions: Both parties refer to the Supplier and the Manufacturer in the Agreement . 产品：附件中图纸描述的产品和/或所附样品Products: refer to products described in drawings in the Appendix and(or)
4、 samples annexed thereto供应协议Supply Agreement1.1根据这份协议双方同意建立合同关系。该份协议是对双方的补充，所有合作条件皆以双方签订的为准。供应商同意根据本协议所附产品描述进行部件的生产。供应商同意根据“数量和订货程序”中所描述的制造商需求交付产品。双方同意承担“损失”条款 6 中所描述的未能履行本合同所产生的经济后果。Both parties hereto agree to enter into contractual relationship according to this Agreement, which is the supplement
5、 of Contract for Goods signed by both parties. All cooperative condition shall be subject to the aforesaid Contract for Goods. The supplier agrees to produce parts in accordance with the description attached to this agreement. The supplier accepts to deliver the products in accordance with Manufactu
6、rers requirements as described in Quantities and Ordering Procedures. Both parties meet mutual agreement in bearing the economic consequences resulting from the failed performance of the Contract as specified in clause 6 Damages. 期限 :2.1双方同意签署一年合同关系. 合同到期前三个月双方应就本协议进行重新谈判。供应商有责任就重新谈判提出书面申请.若合同到期前3个月
7、内未收到任何重新谈判申请,将视为双方无意继续合作. Duration:2.1 The parties agree to enter into a one-year contractual relationship. The parties shall renegotiate this Agreement three months prior to the date of expiry. It is the suppliers responsibility to submit a written application for renegotiation. If no attempt to re
8、negotiate the terms is received within 3 months before the expiry of this contract, it shall be considered that the parties do not wish to renew the cooperation. Where no application for renegotiation is seen within 3 months prior to the expiry of the Contract, it shall be considered as no attempt t
9、o continue cooperation for both parties.质量:3.1双方一致同意将尽最大努力使产品达到协议质量要求。制造商需提供给供应商足够的技术信息，包括但不限于图纸和/或样品。供应商应以书面形式或是电子邮件形式确认已收到并理解该技术信息，并且认为该信息充分,可以生产。Quality:3.1 Both parties reach mutual agreement in making products meet the quality requirements specified in the Contract with best efforts. The Manufa
10、cturer shall provide the Supplier with adequate technical information, including but not limited to drawings and / or samples. The supplier shall in form of writing or e-mail confirm that the information has been received and understood, and is adequate enough to go into operation.样品.Sample3.2供应商在大规
11、模生产前，须提供样品，并且必须在通过制造商技术部门测试并获得书面批准后以双方签字后的封样为准，才能进行大批量生产. 但如果是常单且持续返单的同一品种，则不需要重新提供样品。The supplier shall present samples before mass production,which shall come into effect only after tests and written approval by Manufacturers R&D department, and subject to the sealed sample signed by both parties.
12、 But if it is the same item of regular order and continuous repeat order, there is no need to provide new sample3.3供应商承诺将根据质量协议中所描述的质量控制程序对所生产的产品进行质量监控。供应商理解并同意制造商发现品质问题时根据条款6处理，供应商的责任仅限于合同条款第六项的规定。 3.3 The Supplier promises to conduct quality control in accordance with the quality control procedure

The Supplier understands and agrees to handle any quality problem discovered by the Manufacturer according to Clause 6.The Suppliers responsibility is confined to provisions in clause 6 of this Contract.数量及定货程序 :4.1协议双方一致同意并理解信息交流的重要性，如有一方根据实际情况需要在合作协议上做出更改的需
14、尽快以书面形式提前告知另一方。Quantities and ordering procedures:4.1 Both parties agree and understand that exchange of information is vital, and any change in the Contract made by one party based of practical need shall be notified to the other party in writing in advance as soon as possible.4.2供应商为制造商所生产的所有产品应附带
15、产品档案,至少应包含以下内容:获批准样品以及测试报告,报价,最低订货量及交货时间.所有文件须由双方授权人签署. 4.2 All products produced by the supplier for the manufacturer shall be attached with products files with at least the following content: Approved sample and test report, quotation, minimum order quantity and delivery time. All papers shall be signed by authorized personnel from both parties4.3制造商的定单必须在协议的最小至最大定单量之间。最小和最大定单量的任何改变必须通过双方的一致同意. 4.3 Manufacturers orders shall be confined in the amount from minimum to maximum agreed in the Contract. Any changes in the agreed minimum-maximum order quantity shall be subject to both pa
