7、MENT OF MCO PERSONNEL TO THE PTCN COMPANY LIMITED IRAQ BRANCH (“the Assignment Agreement”) is made effective as of _, 2010 (the Effective Date) between PTCN Company Limited Iraq Branch (hereinafter referred to as the PTCN ) on the one hand, and MCO of the Republic of Iraq (“MCO”) on the other hand,
8、and is premised on the fact that: 此份派遣MCO人员到PTCN有限公司伊拉克分公司的协议（此派遣协议）自2010年 （生效日期）起生效，一方为PTCN有限公司伊拉克分公司（以下称为“PTCN”），另一方为伊拉克共和国MCO（以下称为“MCO”）。此协议的达成基于以下事实：(A) PTCN Company Limited, on behalf of PETRONAS Carigali Sdn. Bhd., Total E&P Iraq and South Oil Company, has entered into that certain Development
9、 and Production Service Contract for Halfaya Contract Area (the “DPSC”) which has taken effect on 1st March,2010 (the “DPSC”); PTCN公司代表Carigali Sdn. Bhd.马来西亚石油、Total E&P Iraq以及南方石油公司签订了了Halfaya合同范围的研发生产服务合同（DPSC）,合同（DPSC）已自2010年三月1日开始生效。(B) Through amicable discussion, PTCN agrees to inherit the exi
10、sting manpower unit in the Halfaya Field and accept the qualified and experienced personnel assigned from MCO, including from its Affiliates, to fill certain positions in the PTCN for the conduct of Petroleum Operations in accordance with this Assignment Agreement; 经过友好协商，PTCN同意接过Halfaya油田现有的人力资源单位，
