5、 借 其 缩 减 工 程 建 设 周 期 、 提 高 工 程 建 设 安 全 、 提 高 工 程 建 设 质 量 和 降 低 工 程 成 本 等 优 点 ， 被 国 内 工 程 领 域 广 泛 采 用 。 但 是 在 工 程 总 承 包 模 式 快 速 发 展 的 同 时 ， 其 弊 端 也 日 益 凸 显 ， 产 生 的 工 程 纠 纷 也 日 益 增 加 ， 而 工 程 总 承 包 合 同 风 险 分 担 的不合理性正是导致工程纠纷的根本原因之一。2011 年，我国建设项目工程总承 包 合 同 示 范 文 本 （ 试 行 ） 颁 布 ， 弥 补 了 我 国 工 程 总 承 包 市 场 30
6、 年来合同范本的空 白 。 但 是 ， 由 于 我 国 工 程 总 承 包 合 同 范 本 试 行 时 间 短 ， 真 正 应 用 工 程 总 承 包 范 本 为 模 板 签 订 的 工 程 项 目 还 不 多 ， 国 内 学 者 对 该 合 同 范 本 的 研 究 也 较 少 。 本 文 以 此 为 契 机，探讨符合我国工程总承包模式的工程总承包合同风险分担方式。首 先 ， 本 文 选 择 FIDIC 设 计 采 购 施 工 （ EPC） /交 钥 匙 工 程 合 同 条 件 （ 1999 年 版 ） 与 建 设 项 目 工 程 总 承 包 合 同 示 范 文 本 （ 试 行 ） 为 研 究
7、 对 象 ， 分 析 两 本 合 同 范 本 的 特 点 。 其 次 ， 在 理 论 基 础 的 研 究 上 ， 将 合 同 风 险 分 为 三 级 风 险 ， 归 纳 和 梳 理 两 本 合 同 范 本 三 级 合 同 风 险 ， 构 建 合 同 的 风 险 分 担 框 架 。 再 次 ， 本 文 从 风 险 管 理 和 补 偿 的 角 度 ， 详 细 对 比 国 内 外 工 程 总 承 包 合 同 范 本 的 三 级 合 同 风 险 的 风 险 分 担 差 异 及 产 生 差 异 的 原 因 ， 提 出 在 我 国 环 境 下 选 择 合 理 的 合 同 分 担 方 式 的 建 议 和 完

However, EP
9、Cs fast development also makes its disadvantages become increasingly prominent and the unreasonable risk allocation mechanism is one of the many reasons that cause the increasing cases of disputes in engineering construction area. In 2011, the government issued “Conditions of Contract for EPC (model
10、 version)”. This new standard conditions of contract fills the gap of no guidance for contract for our General Contracting Market in more than thirty years. However, since this new standard conditions of contract just carried out in a short period, only a few engineering projects are contracted usin
11、g the guidance for contract of General Contracting Market and few researchers dedicate to studying and developing the standard conditions of contract. This thesis dedicates to study the best way for our nations General Contracting Markets risk sharing mechanism.First of all, “Conditions of Contract
12、for EPC (model version)” and the “Conditions of Contract for EPC /Turnkey Projects” are chosen as study subjects, and then their specialties are analyzed respectively. Moreover, in order to establish the risk allocation framework, contract risk allocation will be firstly classified into three catego
13、ries and then all the two study subjects contract risk allocation classifications are identified and summarized in terms of the theoretical study. Furthermore, this thesis makes a detailed comparison of the difference of risk allocation of those three risk allocation classifications between domestic
14、 standard conditions of contract and international standard conditions of contract and the reasons that are responsible for that from the risk management and compensation perspective. It also proposes a reliable way of contract risk allocation mechanism and a matured suggestion for our nations Gener
15、al Contracting Markets standard conditions of contract.
