1、中南民族大学 硕士学位论文 基金管理公司治理研究 姓名：李雷 申请学位级别：硕士 专业：经济法学 指导教师：段晓红 2011-05-19 中南民族大学硕士学位论文 I 摘 要 基金管理公司与一般公司相比，在公司治理方面存在特殊性。基金体现的是 一种信托关系，是信托原理在商事领域的运用和发展，保护投资者合法利益是基 金管理公司治理的基石和核心。 基金在我国已经历了二十年的艰难发展历程。基金管理公司发展至今共有 63 家，在公司治理方面普遍存在的问题是：基金管理公司道德风险普遍存在，基金 持有人蒙受损失而基金管理公司获取高额利润，封闭式基金持有人的利益容易受 到损失，基金管理公司信息披露存在缺陷。
2、基金管理公司治理结构的不完善是导 致上述问题产生的根本原因。分析我国基金管理公司的治理现状可知，我国基金 管理公司组织结构不够完善，独立董事制度存在缺陷，股权结构不够合理，对经 理层的激励形式单一、固定费率过高，基金持有人和基金托管人对基金管理公司 的外部约束不够。 完善我国基金管理公司的治理结构，要完善现行的独立董事制度，独立董事 应当具备自我任命、自我定薪的权力，独立董事来源应向专业技术人员倾斜，并 建立独立董事的责任保险机制，此外，还要协调独立董事与监事会、督察员的关 系。完善基金管理公司的股权结构，要鼓励基金机构化，建立相对控股型股权结 构，鼓励股权的适当转让，此外，还要鼓励员工持股。
3、完善基金管理公司经理层 的激励机制，建议由投资人和基金管理人共同决定基金管理费的提取方式，同时， 还应改变单一的固定费率，在固定费率基础上实行激励费制度，并完善相关的基 金管理的法律法规。完善基金管理公司的组织结构，一方面，各部门设置要体现 职责明确、相互制约的原则，另一方面，要强化公司内部监察稽核，严格控制财 务风险，并设立专门的部门负责信息披露。完善基金管理公司的治理，还要完善 外部约束机制，并变革基金监管制度。 关键词：基金；基金管理公司；公司治理 中南民族大学硕士学位论文 II Abstract Compared with the general corporate , Fund Ma

Fund, in essence, is a relationship of trust , is the principle of trust in the areas of commercial application and the development of the product . Protecting the legitimate interests of investors is the cornerstone and the core
5、 of the governance of Fund Management Company . Fund in China has experienced two decades of difficult development process . Now , there are a total of 59 fund management companies in China .The problem of the governance of Fund Management Company are as follows. Moral hazard is common for Fund Mana
6、gement Companies , fund holders suffer losses but the Fund Management Companies obtain high profits , the interests of holders of closed-end funds are vulnerable to loss ,and there is a flaw for the Fund Management Company information disclosure . There is imperfect for Fund Management Company in go
7、vernance structure , which led to the root causes of these problems . Analysis of the situation of the Fund Management Company tell us that , the organizational structure of Fund Management Company is not perfect , the independent directors system has flaws , the ownership structure is not reasonabl
8、e ,the incentive for managers form is single ,and the fixed rates are too high , fund holders and the fund custodian of fund management companies is not enough external constraints. To improve the governance structure of Fund Management Company, we must improve the existing system of independent dir
9、ectors, and independent directors should have the self-appointed, self-pay fixed power , and the source of independent directors should be professional and technical personnel and the establishment of an independent director liability insurance mechanism is indispensable. Besides , we should concern
10、 the coordination of independent directors , board of supervisors, and inspectors relationship. To improve the fund management companys ownership structure, we should encourage funding agencies, establishing the relative controlling type of ownership structure, and encourage the proper transfer of s
11、hares, in addition, we should encourage employee ownership. To improve the fund management companys organizational structure, on one hand, the responsibilities of various departments should be clear and be limited, on the other hand,
13、 we should strengthen internal supervision , strictly control financial risks, and set up special departments in charge of information disclosure. 16、散的基本原理，将资金投入到各种有价证券的购买，基金公司从中获 取佣金，而投资者从中获得股息的一种投资制度。基金业的产生和在各国的迅速 发展，对世界金融体系产生了深远的影响。在当代，基金行业与银行行业、保险 行业共同成为了现代金融体系中不可缺少的重要力量。 基金成为一种投资专家为 社会公众服务的社会化理财手段，这要从 1864 年英国的投资信托公司说起 1。基 金所依据的原理是“受人之托、代人理财” ，其产生和存在的必然性在于：一方 面，中小投资者希望通过资本获取收益，并尽量规避风险；另一方面，基金公司 可以吸收大量社会闲散资金， 为英国资本主义时代的海外扩张提供了充足的资本 保障。在美国，基金制度成功从英国引入并蓬勃发展，激活了经济，并迅速成为 美国金融业的支柱。据有关材料显示，在 1996 年，美国投资基金，成为了本国 的第二大金融产业。 从 1
