1、河北省上市公司内部资本市场运行的研究 河北经贸大学 硕士学位论文 河北省上市公司内部资本市场运行研究 姓名：边琪 申请学位级别：硕士 专业：会计学 指导教师：范长缨 20070601 河北省上市公司内部资本市场运行研究 内 容 摘 要 企业集团内部资本市场与外部资本市场相类似，是内部资源配置的场所，其主要功 能是资金的内部融通和投资，目的在于提高资源的配置效率。论文立足于河北省企业集 团，对企业集团内部资本市场的运行状况进行研究。由于我国相当部分上市公司隶属于 企业集团，是集团企业内部资本市场重要的组成部分，上市公司通常被集团公司看作是 “资本运作的平台”，与集团母公司及母公司控制的兄弟企业共
2、同构成了内部资本市场； 而且相对于企业集团，上市公司的上市公司信息披露比较全面，因此论文以从属于企业 集团的上市公司为突破口，通过对调研数据的分析，对河北省企业集团内部资本市场运 行的特征及状况进行研究。 截止到2006 年底河北省共有上市公司35 家，上市公司及所从属的企业集团内部已 经形成了内部资本市场。笔者通过问卷调查的方式取得了其中 30 家上市公司的财务数 据并据以研究。论文在搜集大量资料的基础上，以规范研究方法、现象研究方法为主， 结合运用归纳和定性定量分析方法，按照从理论到实践的逻辑顺序，从运行角度入手具 体研究了河北省上市公司内部资本市场的特征、运行模式、运行效果等内容。 论文
3、的主要特点：第一，内部资本市场尚未形成成熟的理论体系，论文针对河北省 内部资本市场所提出的解决对策是对不成熟的理论领域进行的探索；第二，论文是根据 自主调研所得到的资料进行的探索性研究；第三，论文将国外的内部资本市场理论与河 北省实践相联系，填补了河北省企业集团内部资本市场研究的空白。 论文的创新点在于：第一，前沿性问题探索。在我国来说，对内部资本市场的理论 研究还处于起步阶段，尚未形成一个系统的理论框架。本文在借鉴西方研究文献的基础 上，以内部资本市场的运行为切入点揭示了河北省内部资本市场在运行中的特征及效 果。第二，从内部资本市场的视角对河北省上市公司及企业集团的发展进行分析，针对 河北省
4、内部资本市场存在的治理问题提出应采用企业组织结构优化的引导政策，并适当 约束内部交易行为的治理对策。 关键词：内部资本市场 河北省上市公司 多元化投资 I 河北经贸大学硕士学位论文 Abstract Like the external Capital Markets ECM , Internal Capital Markets ICM is the place where enterprises allocate their resources. And its main founction is to internal financing and to invest in order to
5、improve the efficency of the enterprises. This paper based on the operations of enterprises groups in Hebei province, and analysed the condition of the their ICM. As A large part listed company belong to enterprise groups, and play an important pole in the ICM of the enterprise groups, the paper foc
6、used on the conditions of listed company of enterprise groups, and researched on the operations of the ICM in Hebei province. There are 35 listed companies in Hebei province by the end of 2006, and there had been Internal Capital Markets ICM in the listed companies and the enterprise groups they bel
7、ong to. I investigated the listed companies and examined the operation of their ICM. Based on a large amount of the information and according to the logical sequence from theory to practice, the paper researched on the characters, operating mode and effects of the ICM of the listed companies in Hebe
8、i province. The main character of the paper is: to explore on the immature theory, to research based on the self-investigating data and to tie the theory with the practice in Hebei province. The innovations of the paper are: Firstly, the paper is exploring to the front theory. In our country, resear
9、ch on the ICM is just on the initial stage, and there was no systematic theory frame. This paper tried to reveal the character and effects on the operation of the ICM in the listed companies of Hebei province. Secondly, It analyzed the developing of the listed companies in the terms of the ICM. And
10、proposed the way to deal with the governing questions at the end of the paper. Key words: Internal Capital Market;Listed Company of Hebei Province; Diversified Investment II 河北省上市公司内部资本市场运行研究 引 言 企业内部如同外部资本市场一样，也存在着资源配置问题，特别是对大型企业集团 而言，内部资源的配置对集团价值有着重大的影响。现代企业理论明确地把有关内部资 源配置的问题称作内部资本市场。与外部资本市场相类似，企业
11、集团内部资本市场是集 团内部资源配置的场所，内部资本市场通过资本集聚与分配来合理配置资源，以提高企 业集团整体效率。 我国企业集团发展的二十多年来，理论研究主要集中在公司治理、内部控制、资本 结构等方面。集团内部已形成并且存在内部资本市场的观点已基本得到我国学者的认 可，但运用内部资本市场理论系统研究我国企业集团内部资本市场目前的运行效率和运 行效果的科研成果还不多，专门以河北省上市公司内部资本市场的运行作为研究对象更 是前所未有。 本文选择了内部资本市场运行这个角度来研究河北省企业集团，并以河北省上市公 司为切入点研究河北省企业集团。论文通过对河北省内部资本市场的调查对河北省上市 公司及企业
